Terms of Use

The short version
Habaqa is a free platform where business owners run their business and can seek investment, and where approved investors find businesses to back. By creating an account you agree to these terms: be truthful in your profile, treat what you learn here with care, and understand that we run the introductions — any actual investment happens between you and the other party, under its own agreement. The details are below, in plain language.
Who you're agreeing with
These terms are an agreement between you and Promoat Capital Ltd (“we”, “us”, “our”), a company registered in Nigeria and the operator of Habaqa. If we rename the platform or move it to its own domain, these terms carry over unchanged. If you don’t agree with them, don’t use the platform. You can reach us at capital@promoat.co.
Your account
- You need an account to use Habaqa, with a real name and an email address you control (confirmed before the platform opens up). You can also sign in with Google.
- Keep your password to yourself. What happens under your account is your responsibility, so tell us quickly if you think someone else got in.
- Habaqa is for people running or backing businesses. You must be at least 18.
- One account per person. Don’t create accounts for other people or businesses that aren’t yours to represent.
Emails from us
By creating an account you agree to receive emails from us. Some are part of running your account and stay on while you have one: confirming your address, resetting your password, and telling you about funding requests and decisions. We may also send occasional emails about Habaqa itself, such as new tools, tips, and offers. You can opt out of those any time by emailing capital@promoat.co.
If you run a business here
- Your profile is how investors evaluate you — keep it truthful. That includes your revenue and cost bands, profitability, registration status, and CAC number. Honest “not yet” answers are fine; false answers are grounds for removal from the platform and from anything else we run.
- Every business profile is listed to approved investors. Investors see the story side of your profile — your name, one-liner, sector, location, founding year, team size, founders, who your customers are, where you sell, your photos and logo, and your About.
- The numbers stay locked until you say yes. Your financial bands, registration number, assets, loans, use of funds, and contact details are only shared with an investor after you accept that investor’s funding request. Accepting shares your full profile and contact details with that one investor; you can end their access later from your dashboard.
- Being featured on our website is your choice. You can ask us to feature your business on our public website; if our team publishes it, your business name, one-liner, sector, and location appear publicly until you withdraw the request from your overview page.
- A “Verified” badge means we checked registration details, not that we endorse the business. It is not investment advice and not a guarantee of anything.
If you invest through here
- Investor access is granted at our discretion after you apply, and can be suspended if the platform is misused.
- What businesses share with you is for evaluating an investment — nothing else. Don’t republish it, share it outside your firm, use it to compete with the business, or contact owners for unrelated pitches. When an owner ends your access, stop using what was shared.
- Businesses choose whether to respond to your requests. No response, and no acceptance, is owed to anyone.
- You can ask us to feature your investor profile on our public website; if published, your name, firm, focus areas, and location appear publicly until you withdraw the request.
We're the venue, not the deal
Nothing on Habaqa is an offer to sell or a solicitation to buy any security, and nothing on it is investment, legal, tax, or accounting advice. We introduce businesses and investors; we are not a party to, or broker of, whatever you agree with each other. Any investment, loan, or grant happens under its own separate written agreement between you and the other party — do your own diligence, on both sides.
Grant applicants
If you applied to The Drawbridge Grant, your application appears on your dashboard and this is where you track its progress. The grant itself has its own terms, published on the grant page — those govern the grant.
What you upload
Photos, logos, and text you add to Habaqa stay yours. You give us permission to store and display them to run the platform — including showing them to approved investors as described above. Upload only what you have the right to share, and nothing unlawful or misleading.
Free tools
We’re adding free business tools to Habaqa (things like invoicing and customer records). We may add, change, or retire tools as the platform grows; where a tool has extra terms or fees, we’ll say so clearly before you use it.
Using the platform
Please don’t:
- Use Habaqa for anything unlawful.
- Try to break, overload, probe, or bypass its security — including the protections on our forms.
- Scrape or harvest data, or use automated tools to access the platform.
- Impersonate anyone, misrepresent a business, or submit information that isn’t yours to submit.
Our content
The platform’s design, text, and branding belong to us or our licensors. Your content stays yours; don’t use our name or branding to imply a relationship that doesn’t exist.
Third-party services
Habaqa relies on some third-party services — for example Google sign-in and Google reCAPTCHA. Those services have their own terms, and we’re not responsible for them.
No warranties
Habaqa is provided “as is”. We work to keep it accurate, secure, and available, but we don’t guarantee it will be uninterrupted or error-free — and we don’t vouch for the businesses or investors on it. Decisions you make based on what you find here are your own.
Limits on our liability
To the fullest extent the law allows, we’re not liable for indirect, incidental, special, or consequential damages arising from your use of Habaqa — including lost profits, lost data, lost opportunities, or the outcome of any deal or introduction made through it. Where liability can’t be excluded, our total liability for claims connected to the platform is limited to the greater of what you paid us to use it (it’s free) or the minimum the applicable law allows. Nothing here excludes liability that can’t legally be excluded, such as for fraud.
If you cause us a problem
If your breach of these terms — for example, false profile information or misuse of another user’s data — causes claims or costs for us, you agree to cover the losses that result.
Ending your account
You can delete your account from your Account page any time. Your profile and businesses disappear from the platform immediately; for 30 days you can restore everything by signing back in, and after that your data is permanently erased (details in the Privacy Policy). We can suspend or remove accounts that break these terms, and delist businesses that mislead investors.
Governing law and disputes
These terms are governed by the laws of the Federal Republic of Nigeria, and disputes will be handled by the courts of Lagos State. We’d rather resolve a problem by talking — email us first.
Changes
We may update these terms as the platform evolves — including when it gets its permanent name. The date at the top always reflects the current version, and continuing to use the platform after a change means you accept the updated terms. If any part of these terms turns out to be unenforceable, the rest still stands.
